These Terms and Conditions ("Terms") govern the relationship between D05 Technologies Private Limited, a company incorporated and registered in Sri Lanka ("Company", "we", "us", or "our"), and any individual or entity ("Client", "you") that engages our services or accesses our website.
By booking a consultation, signing a project agreement, or using this website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.
D05 Technologies provides software development services including but not limited to:
The specific scope, deliverables, timeline, and cost of each project will be defined in a separate Project Agreement or Statement of Work (SOW) agreed upon by both parties prior to commencement.
We reserve the right to decline any project at our discretion without obligation to provide a reason.
All fees are outlined in the Project Agreement. Unless otherwise agreed:
Additional work requested beyond the agreed scope will be quoted and billed separately. No additional work will begin without written approval from the Client.
Upon receipt of full payment, the Client will own the final deliverables as specified in the Project Agreement. Until full payment is received, all work remains the intellectual property of D05 Technologies Private Limited.
D05 Technologies retains the right to:
Third-party assets (fonts, stock images, plugins, libraries) used in a project remain subject to their respective licenses. The Client is responsible for ensuring continued compliance with those licenses.
The Client is responsible for providing all necessary content, materials, and access required for the project in a timely manner. Delays caused by the Client may result in revised timelines and additional costs.
By providing content to D05 Technologies, the Client warrants that:
D05 Technologies will not be held liable for any legal claims arising from Client-provided content.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes business strategies, technical specifications, pricing, and any information marked as confidential.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
We take data privacy seriously and handle all personal data in accordance with applicable Sri Lankan data protection laws.
To the maximum extent permitted by law, D05 Technologies Private Limited shall not be liable for:
Our total liability in any matter shall not exceed the total fees paid by the Client for the specific project in question.
We warrant that our services will be performed with reasonable skill and care in accordance with industry standards.
We do not warrant that:
A standard 30-day bug-fix warranty is provided after project delivery, covering defects directly attributable to our work. This does not cover new feature requests or issues caused by Client modifications.
Either party may terminate a project agreement with 14 days written notice. In the event of termination:
We reserve the right to immediately terminate any agreement if the Client engages in unlawful activity, abusive conduct, or fails to make payment after due notice.
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.
Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Sri Lanka. Both parties agree to attempt good-faith resolution before pursuing legal action.
D05 Technologies reserves the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
For active project agreements, any material changes to Terms will be communicated directly to the Client.
