Terms & Conditions

Please read these Terms and Conditions carefully before engaging our services. By proceeding with any booking, project agreement, or use of our website, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern the relationship between D05 Technologies Private Limited, a company incorporated and registered in Sri Lanka ("Company", "we", "us", or "our"), and any individual or entity ("Client", "you") that engages our services or accesses our website.

By booking a consultation, signing a project agreement, or using this website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Services

D05 Technologies provides software development services including but not limited to:

  • Website design and development
  • Mobile application development (iOS and Android)
  • UI/UX design and prototyping
  • Backend development and API integration
  • SEO, performance optimization, and digital consulting
  • Ongoing maintenance and technical support

The specific scope, deliverables, timeline, and cost of each project will be defined in a separate Project Agreement or Statement of Work (SOW) agreed upon by both parties prior to commencement.

We reserve the right to decline any project at our discretion without obligation to provide a reason.

3. Payments & Fees

All fees are outlined in the Project Agreement. Unless otherwise agreed:

  • A deposit of 50% of the total project cost is required before work commences
  • The remaining balance is due upon project completion and before final delivery or deployment
  • Invoices are payable within 7 business days of issuance
  • Late payments may incur a fee of 2% per month on the outstanding balance
  • All prices are quoted in Sri Lankan Rupees (LKR) or USD as specified, and are exclusive of applicable taxes

Additional work requested beyond the agreed scope will be quoted and billed separately. No additional work will begin without written approval from the Client.

4. Intellectual Property

Upon receipt of full payment, the Client will own the final deliverables as specified in the Project Agreement. Until full payment is received, all work remains the intellectual property of D05 Technologies Private Limited.

D05 Technologies retains the right to:

  • Display completed work in our portfolio and marketing materials
  • Reference the Client's name and project as part of our work history
  • Retain ownership of any proprietary tools, frameworks, or code libraries developed independently

Third-party assets (fonts, stock images, plugins, libraries) used in a project remain subject to their respective licenses. The Client is responsible for ensuring continued compliance with those licenses.

5. Client Content & Responsibilities

The Client is responsible for providing all necessary content, materials, and access required for the project in a timely manner. Delays caused by the Client may result in revised timelines and additional costs.

By providing content to D05 Technologies, the Client warrants that:

  • They have full rights to use and share the content provided
  • The content does not infringe any third-party intellectual property rights
  • The content does not violate any applicable laws or regulations

D05 Technologies will not be held liable for any legal claims arising from Client-provided content.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes business strategies, technical specifications, pricing, and any information marked as confidential.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

We take data privacy seriously and handle all personal data in accordance with applicable Sri Lankan data protection laws.

7. Limitation of Liability

To the maximum extent permitted by law, D05 Technologies Private Limited shall not be liable for:

  • Any indirect, incidental, or consequential damages arising from the use of our services
  • Loss of revenue, data, or business opportunities
  • Downtime, errors, or failures caused by third-party hosting, platforms, or services
  • Security breaches resulting from Client-side vulnerabilities or third-party systems

Our total liability in any matter shall not exceed the total fees paid by the Client for the specific project in question.

8. Warranties & Disclaimers

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards.

We do not warrant that:

  • Deliverables will be entirely free of bugs or errors at all times
  • Any website or application will achieve specific business outcomes or rankings
  • Third-party integrations or APIs will remain available or unchanged

A standard 30-day bug-fix warranty is provided after project delivery, covering defects directly attributable to our work. This does not cover new feature requests or issues caused by Client modifications.

9. Termination

Either party may terminate a project agreement with 14 days written notice. In the event of termination:

  • The Client is liable for payment of all work completed up to the termination date
  • The deposit is non-refundable unless D05 Technologies is in material breach of the agreement
  • All deliverables completed and paid for will be transferred to the Client
  • Incomplete work remains the property of D05 Technologies

We reserve the right to immediately terminate any agreement if the Client engages in unlawful activity, abusive conduct, or fails to make payment after due notice.

10. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Sri Lanka. Both parties agree to attempt good-faith resolution before pursuing legal action.

11. Changes to These Terms

D05 Technologies reserves the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

For active project agreements, any material changes to Terms will be communicated directly to the Client.
